1. Agreement to Terms

By installing, accessing, or using HeyGuide ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

HeyGuide is an AI-powered knowledge base assistant that integrates with Slack. The Service allows you to:

• Upload PDF documents to a private knowledge base
• Ask natural language questions about your documents
• Receive AI-generated answers with source citations
• Manage documents through a private admin channel

3. Account and Access

3.1 Slack Workspace

To use HeyGuide, you must have a valid Slack workspace. The Service operates entirely within Slack and requires the permissions granted during installation.

3.2 Admin Access

Only Slack workspace admins or owners can install and configure HeyGuide. Admin-level commands (upload, delete, configuration) are restricted to members of the private admin channel created during setup.

3.3 Account Security

You are responsible for maintaining the security of your Slack workspace and controlling who has access to the HeyGuide admin channel. You must notify us immediately of any unauthorized access.

4. Acceptable Use

You agree NOT to:

• Upload documents containing illegal content
• Use the Service to process personal data without proper legal basis
• Attempt to access other workspaces' data
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to develop competing products
• Circumvent usage limits or security measures
• Upload malware, viruses, or harmful code
• Use the Service in violation of any applicable laws

5. Your Content

5.1 Ownership

You retain all ownership rights to the documents you upload ("Your Content"). We do not claim any ownership of Your Content.

5.2 License Grant

By uploading content, you grant us a limited license to process, store, and analyze Your Content solely for the purpose of providing the Service. This license:

• Is non-exclusive and royalty-free
• Is limited to operating the Service
• Does NOT include the right to train AI models on Your Content
• Terminates when you delete Your Content or your account

5.3 Your Responsibilities

You are responsible for ensuring you have the right to upload any content and that it does not violate any third-party rights or applicable laws.

6. Subscription and Payment

6.1 Free Trial

New workspaces receive a 7-day free trial with full access to all features. No credit card is required for the trial.

6.3 Billing

Subscriptions are billed in advance. By subscribing, you authorize us to charge the payment method on file for the applicable fees.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

7. Service Availability

7.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The Service depends on third-party services (Slack, AWS, OpenAI) that may experience their own outages.

7.2 Maintenance

We may perform scheduled maintenance that temporarily affects availability. We will provide advance notice when possible.

8. Intellectual Property

The Service, including its design, features, and technology, is owned by HeyGuide and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks without written permission
• Remove any proprietary notices from the Service

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your data. By using the Service, you agree to our Privacy Policy.

10. AI-Generated Content

10.1 Nature of AI Responses

HeyGuide uses artificial intelligence to generate responses. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or outdated information.

10.2 No Professional Advice

AI responses are for informational purposes only and do not constitute legal, medical, financial, or other professional advice. Always verify important information with appropriate professionals.

10.3 Source Citations

HeyGuide provides source citations to help you verify responses. We encourage you to review the original documents for critical decisions.

13. Indemnification

You agree to indemnify and hold harmless HeyGuide and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

14.1 By You

You may terminate your use of the Service at any time by uninstalling HeyGuide from your Slack workspace or by using the /delete-workspace command.

14.2 By Us

We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or for any other reason with 30 days' notice (except for serious violations, which may result in immediate termination).

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data as described in our Privacy Policy unless you request deletion.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified through the Service or via email at least 30 days before taking effect. Continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by the laws of the European Union and the member state where HeyGuide is established, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
